Trade Terms

1. Who these apply to
These Trade Terms apply where you are buying ROLL in the course of a business — to resell, to hire out, to furnish rental or short-term-let accommodation, or to equip business premises.
We treat your order as a trade order where you supply a business name, VAT number, ABN, tax identification number or other business registration number at checkout, or where we agree trade terms with you in writing.
If you supplied business details but are buying as a consumer, tell us at support@rollbed.co before delivery and we will treat your order as a consumer order under our ordinary Terms & Conditions. We do not reclassify an order as a trade order after it has been accepted.
2. What these terms are
We do not operate a standard trade price list or standard trade conditions. Price, quantity, lead time, delivery method, payment terms, warranty scope and liability are agreed with you individually and recorded in writing before we accept your order.
Your Order Confirmation, together with any written agreement referred to in it, governs your purchase. These Trade Terms set the default position on the points below where nothing else has been agreed.

3. Consumer rights do not apply
Trade orders carry no right of withdrawal, no right to cancel and no change-of-mind return. Those rights belong to consumers — people buying wholly or mainly outside a trade, business, craft or profession — and do not extend to business purchases.
The 30-day return periods described in our Shipping, Returns & Warranty documents do not apply to trade orders.
4. Warranty
Unless we agree otherwise in writing, trade orders carry the same product warranty periods as consumer orders: two (2) years on the ROLL cabinet and mechanism, and five (5) years on the ROLL mattress, on the terms set out in our Shipping, Returns & Warranty document for the destination market, excluding any part of it that depends on consumer status.
Commercial, rental and short-term-let use is excluded from the standard warranty. If you intend to place ROLL in rental, hospitality or short-term-let accommodation, tell us before you order so that we can agree appropriate warranty terms. We would rather set expectations correctly than decline a claim later.
5. Delivery, title and risk
Delivery terms, Incoterms and delivery windows are as stated in your Order Confirmation.
Ownership of the goods remains with ROLLBed until payment has been received in full. Risk passes on delivery, or as otherwise stated in the agreed Incoterms.
6. Liability
Nothing in these Trade Terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
Subject to that, and to the maximum extent permitted by law:
- we are not liable for indirect, incidental, consequential, special or punitive loss, including loss of profit, revenue, business opportunity, goodwill, anticipated savings, business interruption or data loss; and
- our total aggregate liability arising from any order shall not exceed the amount actually paid for the products in that order.
7. Resale
If you buy ROLL for resale, you must not describe a used, returned or refurbished unit as new, and you must pass on the applicable product safety information, instructions and warnings supplied with the product to your own customer.
We may require written confirmation of the intended market before accepting an order, because product conformity, labelling and safety requirements differ by country.
8. Australia — consumer guarantees still apply
Under the Australian Consumer Law, consumer guarantees apply to goods costing under A$100,000 regardless of whether they are bought for business purposes. Nothing in these Trade Terms excludes, restricts or modifies those guarantees, and section 3 above does not remove them.
9. General
These Trade Terms and any contract formed under them are governed by the laws of the Republic of Croatia, and disputes are subject to the exclusive jurisdiction of the competent courts of Zagreb, Croatia, unless otherwise agreed in writing.
Where these Trade Terms conflict with our consumer Terms & Conditions, these Trade Terms apply to trade orders. Our Privacy Policy and Cookie Policy apply to trade and consumer customers alike.
We may update these Trade Terms. The version in effect when your order is accepted continues to govern that order.
